Subscription.

The Subscriber hereby subscribes for access to Companylaw.co.za for a period of 12 (twelve) months (“the initial period”) calculated from the inception date, being the date that the Subscriber agrees to subscribe to Companylaw.co.za.


The subscription cost for the initial period is R685.00 (four hundred and eighty five Rand) per month, or, a discounted annual fee of R4,500.00 (four thousand Rand) per annum. Companylaw.co.za may require the Subscriber to sign a debit order facility in favour of Companylaw.co.za, alternatively, and at the discretion of Companylaw.co.za it will render monthly accounts to the Subscriber, which accounts are payable at the end of the month following the month during which the account is rendered.


Save in the event that the Subscriber cancels its subscription to the Companylaw.co.za service in writing prior to the termination of the initial period, the Subscription shall be renewed for further periods of 12 (twelve) months at a time. The subscription charges will escalate annually at a rate equivalent to the increase in the Consumer Price Index during the prior year.


Companylaw.co.za shall be entitled to suspend the users account at any time in the event that the Subscriber has failed to make payment of all amounts that are due to Companylaw.co.za timeously.


Updates.

Companylaw.co.za will continue to update the documents on the Site so as to ensure that the documents are in conformance with the applicable laws that are relevant to such document. The Subscriber will be notified from time to time of updates to the documents and it is the Subscriber’s responsibility to implement such updated documents, where applicable.


License Terms and Conditions.

CompanyLaw.co.za holds all of the intellectual property rights (of whatsoever nature) that are incorporated in either the website Companylaw.co.za (“the Site”) including without limitation such rights that vest in the products offered on the Site.


Registered subscribers to Companylaw.co.za are entitled to utilise the documentation generation service solely for the purposes of the registered subscriber. The Subscriber undertakes that is will not in any manner whatsoever directly or indirectly, reproduce, sell or in any other way disseminate any of the content that is available on the Site, including forms, precedents and agreements. While the license hereby granted permits the Subscriber to generate an unlimited number of documents, the license is subject to the strict proviso that such documents are to be utilised by the Subscriber only for its purposes. The conclusion of this subscription agreement does not constitute or envisage the transfer of any rights in and to the products that are available on the Site. The copyright in and to all documents that are available on the Site vests solely with Companylaw.co.za.


The Subscriber undertakes that it will not utilise any service or product offered on the Site for the purposes of investigating, initiating or in any way participating in any activity that is competitive to the activities of Companylaw.co.za.


Subscriber’s that make use of the Debtor Management system available on Companylaw.co.za are required to ensure that all data inputted into such system is correct and accurate. The Subscriber indemnifies Companylaw.co.za against any claims that may be made against Companylaw.co.za in consequence of the utilisation of such system, including, as a consequence of incorrectly inputted information and / or incorrect or improper utilisation of the system. Any attorney’s letter, Summons (whether Magistrates Court or High Court) or other legal document is a draft format that must be settled by an attorney before use.


No Warranties.

Companylaw.co.za does not warrant that any documents that are generated on Companylaw.co.za are fit for the Subscriber’s intended purposes. It is the sole responsibility of the Subscriber to ensure that any selected document is suitable for the intended use thereof, and, that the information inputted into such document is accurate.


The Subscriber hereby indemnifies Companylaw.co.za against any claims that may be made against Companylaw.co.za in consequence of the Subscriber’s utilisation of any documentation on the Site in circumstances where the Subscriber has incorrectly selected a document, or where it has incorrectly inputted fields into the document.


Limitation of Liability.

Companylaw.co.za is not liable to either the Subscriber, or any third party, for consequential or indirect losses, howsoever arising. In any event, the liability of Companylaw.co.za for all claims is limited to the subscription fees payable by the Subscriber to Companylaw.co.za under the Subscription for the initial period.
